Cancellation and Refund Policy

This Cancellation and Refund Policy (the "Policy") forms part of the Realytics Terms of Service (the "Terms") and is incorporated into them by reference. Capitalized terms used but not defined in this Policy have the meanings given in the Terms.
This Policy applies to subscriptions purchased from Realytics Corp Limited. It does not apply to subscriptions purchased under an Order Form with Reality Analytics, Inc. under the US Enterprise Terms of Service, where cancellation and refund terms are governed by that agreement and the applicable Order Form.
Where this Policy conflicts with the Terms, this Policy prevails as to cancellation and refunds.

2. How to cancel
2.1 Self-service cancellation
You may cancel your subscription at any time from the billing section of your account. Cancellation takes effect at the end of the then-current billing period. You retain access to the Service until that date.
2.2 Cancellation by notice
You may also cancel by sending a request from the email address registered on the account to , stating the account name and the subscription concerned. A cancellation request submitted by any other means, including a request made to a support agent by chat, is effective only when Realytics confirms it in writing.
2.3 Timing
To avoid renewal, a cancellation must be completed before the renewal date. A cancellation completed on the renewal date or later takes effect at the end of the newly commenced billing period, and the Fee for that period remains payable.
2.4 Effect of cancellation
Cancellation stops future renewals. It does not, of itself, generate a refund of Fees already paid, except where this Policy expressly provides otherwise.
3. Automatic renewal
3.1 Renewal
Subscriptions renew automatically for successive periods of the same length as the expiring period, at the then-current price for your plan, until cancelled in accordance with Section 2.
Where mandatory automatic-renewal or negative-option laws apply despite the business-to-business nature of the Service, Realytics will provide the notices, renewal reminders, cancellation mechanism, acknowledgement and retention records required by those laws. Nothing in this Policy limits any mandatory right that cannot lawfully be excluded.
3.2 Advance notice
Realytics will send a reminder to the email address on the account before the renewal of any subscription with a term of one year or longer, and before the first renewal following the conversion of a trial into a paid subscription. Realytics will send this reminder at least 30 days before the renewal date for annual and multi-year subscriptions, and at least 45 days before the renewal date where the price for the renewal period is increasing.
3.3 Price increases on renewal
Realytics may increase the price of your plan. Any increase takes effect only from the start of your next renewal period and never during a period you have already paid for. Realytics will notify you in advance, giving at least:

The notice will state your current price, the new price, the date from which the new price applies, the date by which you must act to avoid it, and how to cancel or change plan.
3.3.1 Your options if you do not accept an increase
You may do any of the following at any time up to the day before the increase takes effect:
Cancel your subscription under Section 2, in which case cancellation takes effect at the end of your current term and no further Fees are charged. Change to a different plan, including a lower-priced plan, in which case the new plan applies from your next renewal. Or take no action, in which case your continued use of the Service on or after the effective date constitutes acceptance of the new price.
Cancellation or a change of plan in response to a price increase attracts no penalty, no early termination charge and no administrative fee, and can be completed in the billing section of your account without contacting Realytics.
3.3.2 Notice given late
If Realytics fails to give the notice required by Section 3.3 before an increase takes effect, the increase does not apply to that renewal period and the previous price continues to apply until the following renewal, for which fresh notice must be given. Where Realytics has charged an increased Fee without the required notice, it will refund the difference.
3.3.3 Coordination with the renewal reminder
Where both a renewal reminder under Section 3.2 and a price-increase notice under Section 3.3 are due, Realytics will send the price-increase notice no later than the renewal reminder, so that you receive notice of the new price before the date by which you must act.
3.3.4 Taxes and currency
A change in any tax, duty, levy or similar governmental charge applied to your Fees, and an adjustment to local-currency pricing to reflect exchange-rate movement, are dealt with in the Terms of Service and are not price increases for the purposes of this Section.
3.4 Failed payment
If a renewal payment fails, Realytics may retry the charge and may suspend access to the Service. Where payment is not received, Realytics may terminate the subscription. Suspension does not extend the subscription period or generate a refund.
4. First-time purchase refund
4.1 The entitlement
If you are purchasing a paid Realytics subscription for the first time, you may request a refund within 14 days of the date of the initial charge, and Realytics will refund the amount paid in full.
4.2 Conditions
The entitlement in Section 4.1 is subject to each of the following:
(a) the request is made within 14 days of the initial charge and is submitted in accordance with Section 8;
(b) the subscription is the first paid subscription associated with your account, your organization, your payment instrument and your billing entity;
(c) the account has not been used in a manner inconsistent with a good-faith evaluation of the Service, which includes exhausting or substantially exhausting the plan's export, report, credit, API or crawl entitlements within the 14-day period;
(d) the account has not breached the Terms, and in particular has not breached clause 5 of the Terms (Restrictions), clause 5.2 of the Terms (artificial intelligence and machine learning restriction) or clause 2.5 of the Terms (Competitors); and
(e) neither you nor any related person has previously received a refund under this Section 4.
4.3 Not available
The entitlement in Section 4.1 does not apply to renewals, to upgrades, to additional seats, to add-ons, to top-up credits, to reactivation of a previously cancelled subscription, or to any subscription purchased through a reseller or marketplace.
4.4 Effect
Where a refund is granted under this Section 4, the subscription terminates immediately, access to the Service ceases, and Section 10 applies to your data.
5. Statutory withdrawal rights
5.1 When this Section applies
This Section 5 applies where, notwithstanding the business-capacity warranty you gave when subscribing, you are entitled under mandatory law to a right of withdrawal or cancellation as a consumer, including where you are an individual resident in the European Union, the European Economic Area or the United Kingdom who concluded the contract wholly or mainly outside your trade, business, craft or profession.
5.2 The right
Where this Section applies, you may withdraw from the contract within 14 days of its conclusion without giving any reason and without incurring any liability, and Realytics will refund all payments received from you without undue delay and in any event within 14 days of being informed of your decision.
5.3 Services already supplied
Where you have expressly requested that Realytics begin providing the Service before the end of the withdrawal period, and you subsequently withdraw, Realytics may retain an amount proportionate to the Service supplied up to the point of withdrawal, calculated by reference to the total contract price.
5.4 How to exercise
To exercise this right, send an unambiguous statement to or use the model withdrawal form available at https://realytics.com/legal/withdrawal-form. You bear the burden of demonstrating that the withdrawal was communicated within the period.
5.5 Relationship to Section 4
Where both Section 4 and Section 5 apply, the provision more favorable to you applies. Nothing in this Policy limits or excludes any right you have under mandatory consumer protection law.
6. Refunds granted by Realytics
Realytics will grant a refund in each of the following circumstances.
6.1 Erroneous and duplicate charges
Where you have been charged in error, charged twice for the same period, charged after a valid cancellation took effect, or charged an amount other than the price applicable to your plan, Realytics will refund the erroneous amount in full.
6.2 Unauthorized transactions
Where a charge was made without the authority of the account holder or the owner of the payment instrument, and Realytics is reasonably satisfied of this following investigation, Realytics will refund the charge in full and may close the affected account.
6.3 Discontinuation of the Service
Where Realytics discontinues the Service, or discontinues a feature or module that constitutes the core functionality of your plan, Realytics will refund prepaid Fees for the unexpired portion of the then-current subscription period on a pro-rata basis.
6.4 Termination by Realytics without cause
Where Realytics terminates your subscription for convenience and not by reason of your breach, fraud, unlawful use, or a requirement of law or of a competent authority, Realytics will refund prepaid Fees for the unexpired portion of the then-current subscription period on a pro-rata basis.
6.5 Material change adverse to you
Where Realytics makes a change to the Service that materially and adversely reduces the core functionality of your plan, or amends the Terms in a manner materially adverse to you, and you terminate in accordance with the applicable provision of the Terms before the change takes effect, Realytics will refund prepaid Fees for the unexpired portion of the then-current subscription period on a pro-rata basis.
A price increase notified in accordance with Section 3.3 is not a material adverse change for the purposes of this Section, because it takes effect only from your next renewal period and does not affect any period you have paid for. Your remedy in respect of a price increase is set out in Section 3.3.1, and where an increased Fee has been charged without the required notice, Section 3.3.2 applies.
6.6 Sustained unavailability
Where the Service is materially unavailable for a continuous period exceeding 72 hours for reasons within Realytics' control, and you notify Realytics during that period, Realytics will on request credit your account with an amount proportionate to the period of unavailability. Where the unavailability exceeds 14 consecutive days, you may instead terminate and receive a pro-rata refund of prepaid Fees for the unexpired portion of the then-current subscription period. This Section does not apply to unavailability caused by scheduled or emergency maintenance, by an event of force majeure, or by a third-party source or platform on which the Service depends.
7. Where refunds are not available
Except as required by mandatory law and as provided in Sections 4, 5 and 6, Fees are non-refundable. In particular, no refund is available:
(a) for any unused portion of a subscription period, unused seats, unused credits, unused API quota or unused reports, whether or not you accessed the Service during the period;
(b) on cancellation by you, in respect of the period already commenced;
(c) on a downgrade of your plan mid-term, where the change takes effect at the next renewal and no credit arises for the difference;
(d) where your subscription is suspended or terminated by Realytics by reason of your breach of the Terms, fraud, material misrepresentation, unlawful use, circumvention of usage or seat limits, breach of the artificial intelligence and machine learning restriction, or breach of the competitor restriction;
(e) where your subscription is suspended or terminated as required by law, by court order, by a competent authority, or by applicable sanctions or export control law;
(f) in respect of any trial, free tier, promotional access, or feature identified as beta, preview, alpha, early access or experimental;
(g) in respect of any amount paid to a reseller, distributor, marketplace or other third party, which is governed by that party's refund terms;
(h) by reason of dissatisfaction with the accuracy, completeness, coverage, granularity or currency of Realytics Output, or by reason of a change to Realytics' data sources, coverage or methodology, having regard to the nature of the data as described in the Terms;
(i) by reason of a change to, restriction imposed by, or unavailability of a third-party source, platform or provider on which the Service depends, including a search engine or an analytics or advertising platform;
(j) by reason of your failure to use the Service, to configure it, to connect an account, or to obtain a particular commercial result; or
(k) where you have not complied with the notification requirements of this Policy.
8. How to request a refund
8.1 Submitting a request
Send a request from the email address registered on the account to , including the account name, the invoice number or transaction reference, the amount, and the ground on which the refund is sought.
8.2 Time limits
A request under Section 4 must be made within 14 days of the initial charge. A request under Section 5 must be made within the 14-day statutory period. A request under Section 6.1 or 6.2 must be made within 90 days of the charge. A request under Section 6.6 must be made within 30 days of the end of the period of unavailability. Realytics may decline a request made outside the applicable period.
8.3 Verification
Realytics may require reasonable verification of your identity, of your authority to act for the account holder, and of the payment instrument used.
8.4 Response
Realytics will acknowledge a request within 5 business days and will notify you of its determination, with reasons, within 14 days of receiving all information reasonably required to assess it. Where a request is declined, you may ask for the decision to be reviewed by sending a written request to within 14 days.
9. How refunds are paid
9.1 Method
Refunds are paid to the original payment instrument in the currency of the original charge. Where that is not possible, Realytics will agree an alternative method with you.
9.2 Timing
Realytics will initiate an approved refund within 10 business days of approval. The time taken for the funds to appear depends on your payment provider and is outside Realytics' control.
9.3 Deductions
Realytics may deduct from a refund any amount you owe to Realytics, and any non-recoverable transaction, currency conversion or payment processing fee, except where the refund arises under Section 5, Section 6.1 or Section 6.2, or where deduction is prohibited by mandatory law.
9.4 Taxes
Where tax was charged on the original transaction, the refund includes the corresponding tax to the extent required by law, and Realytics will issue a credit note where required.
10. Effect of a refund on your account and data
Where a refund of the full amount paid for a subscription period is granted, the subscription terminates with immediate effect, access to the Service ceases, and any Realytics Output exported before termination remains subject to the restrictions in the Terms, which continue to apply after termination.
Realytics will retain your Customer Data for the period stated in the Terms following termination so that you may export it, except where Realytics terminated by reason of your breach, fraud or unlawful use, or where a competent authority requires otherwise, in which case Realytics may delete it immediately.
11. Chargebacks
If you initiate a chargeback or payment dispute with your bank or card issuer in respect of a charge, Realytics may suspend your account pending resolution. Where the chargeback relates to a charge that was properly due, Realytics may recover the disputed amount together with any chargeback fee imposed on Realytics, and may treat the chargeback as non-payment. Realytics asks that you contact before initiating a chargeback so that the matter can be addressed directly.
12. Resellers and marketplaces
Where you purchased through a reseller, distributor or marketplace, your cancellation and refund rights are governed by that party's terms, and you should direct requests to that party. This Policy does not create any entitlement against Realytics in respect of such a purchase, and nothing in this Section affects any mandatory statutory right you have against Realytics.
13. Changes to this Policy
Realytics may amend this Policy. Where an amendment materially reduces your rights under it, Realytics will give at least 30 days' notice by email or in-product notice before it takes effect, and the amendment will not apply to a refund request relating to a charge made before the amendment took effect. Continued use of the Service after the amendment takes effect constitutes acceptance of the amended Policy.
